Earna Referral Bonus Program – Terms & Conditions
These terms and conditions (hereinafter the “Terms”) govern this Earna Referral Bonus Program (hereinafter this “Program”) offered by Earna Inc. (hereinafter “Earna”, “we” or “us”). By participating in the Program as either an Ambassador or a Referral, you agree to be bound by these Terms, as well as any other applicable terms and conditions, including Earna’s Privacy Policy and Earna Rewards Policy. Any capitalized term not defined herein shall have the meaning assigned to it in the Cardholder Agreement.
1. DEFINITIONS
“Ambassador” means an existing Earna Cardholder in Good Standing who shares their unique referral link.
“Bonus” means the Earna Cashback amount received by the Ambassador or the Referral as part of their participation in the Program.
“First Purchase” means the first successful, settled Purchase made by a Referral using their Earna Card. To avoid confusion, this excludes refunds, reversals, and pre-authorizations.
“Premium Status” means an active, good standing status to the Earna Premium Package.
“Referral” means a new Cardholder who signs up for Earna usingan Ambassador’s referral link.
2. ELIGIBILITY
2.1. Ambassador Eligibility
To be eligible for a Bonus, the Ambassador must meet the following criteria at the time of the Referral’s First Purchase: (i) the Ambassador’s Account must be in Good Standing; (ii) the Ambassador’s Account must not be a Blocked Account, and; (iii) the Ambassador must reside in a province where the Program is active.
2.2. Referral Eligibility
To be eligible for a Bonus, the Referral must meet the following criteria: (i) complete the full Earna application process, be approved, and sign the onboarding documents; (ii) reside in a province where the Program is active; (iii) complete a First Purchase of at least $10 using their Earna Card; (iv) hold an active Premium Status at the exact time of the First Purchase.
3. BONUS STRUCTURE
Bonuses will be issued upon the Referral’s First Purchase. A Referral must be a Premium Status holder at the moment of First Purchase in order to receive the Bonus. A Referral cannot subscribe to the Premium Status after the First Purchase to obtain the Bonus. The Ambassador will obtain twice the amount of the base Bonus if they are a Premium Status holder. The Bonuses will be issued as per the amount detailed below. The Bonuses displayed are an estimate of the notional equivalent of the Earna Cashback and do not constitute actual monetary value until redeemed.

4. CLAWBACK POLICY
Referral Bonuses are subject to a 12-month clawback period. If a Referral receives a Bonus and cancels their Premium Status within twelve (12) months of the Bonus issuance date or cancels their Account for any reason, Earna reserves the right to recoup the bonus received by the Referral. This does not apply to the Ambassador.
5. TAX IMPLICATIONS
There are tax implications to Bonuses and rewards of this nature in most instances. Please consult with an accountant or tax professional for additional guidance. Earna will not be issuing clients a tax slip to report Bonuses paid to Ambassadors or Referrals. Cardholders are solely responsible for any required tax reporting.
6. RELEASE
By participating in the Program, Ambassador and Referral assume all risk of any damage which may arise in connection with their participation in the Program. Without limiting the foregoing, client hereby: (a) forever releases and discharges Earna and its parent companies, subsidiaries, affiliates, related and associated entities and employees, directors, officers, suppliers, agents, sponsors and administrators of each (collectively, the “Releasees”), from and against any and all claims, actions, costs, liabilities, judgments, damages, obligations, losses, penalties, and expenses of any kind or nature whatsoever (including legal fees) in any way arising directly or indirectly out of any injury, loss, or damage that the Client may suffer as a result of, or in connection with the participation in the Program or any programrelated activity, including the posting of the Bonus in their Earna Account and subsequent use of the bonus; and (b) indemnifies, defends and holds harmless the Releasees from and against any and all damages, loss and expenses, including legal fees, which may be suffered directly or indirectly by reason of the Cardholder’s own negligence or willful misconduct during or in connection with their participation in the Program.
7. MISCELLANEOUS
7.1. Modification. Earna reserves the right to adjust the Bonus amounts at its sole discretion. Earna also reserves the right to modify these Terms at its sole discretion without prior notice. Earna is the sole arbiter of these rules and any other issue arising under the Program.
7.2. Termination. Earna may suspend or terminate the Program or any user’s participation in the Program, or suspend or terminate the user’s Account, at any time without notice for suspected fraud or violation of these Terms or any other terms or conditions the Ambassador or the Referral is part of with Earna.
7.3. Discrepancy. In the event of any discrepancy or inconsistency between the Terms and disclosures or other statements contained in any related materials, including but not limited to the point of sale, print or online advertising, the Terms shall prevail, govern and control.
7.4. First Purchase trigger. Forfeited bonuses due to Accounts not in Good Standing or late Premium Status subscription cannot be recovered or appealed once the First Purchase trigger has passed.
7.5. Currency. All currency shown in these Terms are in Canadian dollars.
7.6. Approval. An invitation to participate in this Program does not provide assurance that you will be accepted as a customer of Earna.
7.7. Jurisdiction. These Terms will be governed by and interpreted in accordance with the same laws which govern the Cardholder Agreement applicable to your Card and your Account.
