Earna Rewards Policy

1. General

1.1 From time to time, Earna, its affiliates or third-party Earna partners ("Merchants") may make certain offers to you which includes but is not limited to Earna Cashback, Promo Codes, Referral Program, Contests, Earna Milestones or others (collectively and individually "Earna Programs") through the Earna website, application or other ("Earna Website").

1.2 If you have an eligible Earna credit card or any other eligible product or service as determined by Earna from time to time (collectively referred to as "Earna Product"), you may be eligible for Earna Programs through the Earna Website. Earna Programs available may differ between Earna Products and may vary depending on you meeting certain eligibility criteria.

1.3 At all times, Earna Programs are available according to the eligibility requirements, terms and conditions set by Earna, its affiliates or any Merchant, as the case may be. We will communicate the required eligibility criteria for certain Earna Programs to you on an ongoing basis, as applicable.

1.4 Rewards or other loyalty programs offered by Merchants outside of the Program ("Merchant Rewards") are earned according to the eligibility requirements, terms and conditions set by Merchants. You acknowledge that any obligations regarding Merchant Rewards are between Merchant and you, and not Earna. Earna is not responsible for the administration of any Merchant Rewards, does not guarantee any Merchant Rewards, and cannot be held liable for any Merchant Rewards owed.

1.5 Earna Programs may be subject to additional terms, conditions and restrictions set by Earna or Merchants. Subject to applicable law, such terms, conditions and restrictions may be updated, modified, suspended, or cancelled at any time without prior notice to you. Earna Programs may not be made available to all users or in certain jurisdictions.

1.6 Descriptions of Earna Programs may include inaccuracies or typographical or other errors. You agree that neither Earna, its affiliates nor any Merchant will be responsible for such errors and that both Earna and Merchants reserve the right to correct them when they are discovered. Earna and Merchants reserve the right to cancel all transactions affected by such errors, refund all amounts paid and cancel all Earna Programs progress associated with such transactions without any liability.

2. Earna Programs

2.1 Once you are approved for an eligible Earna Product, you may participate in Earna Programs presented to you through the Earna Website if you meet the eligibility criteria.

2.2 Earna Programs may be removed from the Earna Website without notice. Earna Programs may expire. Partial progress towards an Earna Program does not constitute any guarantee that the Earna Program will be honored. Participation in a current Earna Program does not constitute a guarantee that the Earna Program will remain in effect.

2.3 Earna Programs may not be used in conjunction with other vouchers or any other discounts or promotions provided or advertised from time to time unless otherwise stated.

2.4 Earna Programs may not be exchanged, redeemed, or refunded for cash (other than as may be explicitly permitted by Earna from time to time or as explicitly detailed in the Earna Program terms), and may not be transferred or assigned to a third party.

2.5 By entering into Earna Programs, you acknowledge that you are responsible for determining whether you are eligible to receive benefits from Earna Programs under applicable laws.

3. Earna Cashback

3.1 You may accumulate Earna cashback ("Earna Cashback") when using your Card on a Qualifying Transaction, as long as your Account is in Good Standing or as long as your Account is not considered a Blocked Account. The accumulation and redemption of Earna Cashback is subject to the terms and conditions of the Earna Programs and all other terms and conditions of this Policy. Please see "Appendix I – Rates by Card" for the rates of how we calculate Earna Cashback on a Qualifying Transaction. You acknowledge that the rates may change at any time and Earna may not provide notice to you, unless required by law.

3.2 Earna Cashback is calculated on the Canadian dollar amount of the Qualifying Transaction and rounded down to the nearest cent. Earna Cashback is available for redemption as soon as the Qualifying Transaction for which the Earna Cashback is accumulated has been posted to your Account.

3.3 Earna Cashback credited to your Account on any Qualifying Transactions made with your Card that you subsequently return, reimburse or otherwise obtain any refund will be adjusted and reflected in your Account. Your Earna Cashback balance will be reduced by the number equivalent to the amount originally credited. You should be aware that in some cases, your Earna Cashback balance may become negative. In such cases, if Earna Cashback is earned in the future, they are first used to offset the negative balance.

3.4 Earna Cashback cannot be earned after the date your Account is not in Good Standing, is considered a Blocked Account, is terminated, suspended or limited or the date the Earna Program is terminated. In the event of a dispute about the amount of your Earna Cashback accumulated, redeemed or deducted, our records will be considered conclusive unless you notify us of any discrepancies within 30 days of your Statement Date.

3.5 Earna Cashback are earned in connection with spending activity on your Account but only for transactions that are part of the Merchant Category Codes detailed in "Appendix II – Eligible Merchant Category Codes" or transactions that are considered Recurring Transactions (individually and collectively "Qualifying Transactions"). A Recurring Transaction refers to a transaction that is automatically charged to your Card at regular intervals for a subscription or ongoing service, such as streaming services, gym memberships or others (but does not include the Monthly Fees) ("Recurring Transactions"). Earna maintains the right to review any transaction and to determine, in Earna's absolute and sole discretion, if certain transactions are Qualifying Transactions or Recurring Transactions.

3.6 You understand that Merchant Category Codes are set by Visa* payment networks. Earna cannot guarantee the category set for each merchant or that the merchant you purchase from has the eligible Merchant Category Code. Earna will only offer Earna Cashback on Qualifying Transactions based on the Merchant Category Codes.

3.7 In certain provinces and other jurisdictions, Earna Cashback may not be applied to any amount paid in taxes or to the purchase of alcohol, tobacco, cannabis, and other items as determined from time to time by us or as required by law.

3.8 If Earna Cashback is applied to an ineligible transaction, Earna is entitled to reverse the Earna Cashback provided. Abuse of any ineligible transactions can result in removal from the Program and/or suspension or cancellation of the applicable Earna Product.

3.9 You may also accumulate Earna Cashback, as long as your Account is in Good Standing or as long as your Account is not considered a Blocked Account, by making a payment which fully covers your Balance as shown on the Earna Website. For more certainty, you will accumulate Earna Cashback every time you make a payment which brings your Balance to zero, but only on the principal amount (excluding interests and fees) ("Qualifying Full Payment"). The Earna Cashback accumulated will be calculated as per the rates available in the Appendix I, multiplied by the amount of the Qualifying Full Payment. However, you may not accumulate Earna Cashback once the sum of all of your Qualifying Full Payments for one Billing Cycle has reached your Credit Limit. A refund or credit is not considered a Qualifying Full Payment.

3.10 Earna Cashback is calculated on the Canadian dollar amount of the Qualifying Full Payment and rounded down to the nearest cent. Earna Cashback is available for redemption as soon as the Qualifying Full Payment for which the Earna Cashback is accumulated has been posted to your Account. Interests and Fees are not included in the calculation of the Earna Cashback.

3.11 In order to accumulate Earna Cashback in regard to Qualifying Full Payments, the principal amount for which Earna Cashback is calculated must be posted on your monthly statement. For more certainty, you will not earn Earna Cashback on a Qualifying Full Payment if you make said payment before the amount due is posted on your monthly statement.

3.12 Earna Cashback are to be only available for a Cardholder who has subscribed to the Optional Package Agreement. If your Optional Package Agreement is cancelled for any reason whatsoever, you will lose the benefit of earning Earna Cashback and the accumulated Earna Cashback may be lost.

4. Redeeming Earna Cashback

4.1 Earna Cashback can be redeemed towards your Account Balance using the Earna Website. Earna Cashback can only be redeemed in full towards your Account Balance. Any such redemption will not be considered a payment for the purposes of accumulating Earna Cashback.

4.2 Certain Earna Cashback redemption may be subject to additional terms and conditions that will be provided to you if applicable. For example, Earna may determine points redemption ratios and the timing of such redemption. We reserve the right to change points redemption ratios or revoke availability of redemption options in our sole discretion with or without notice.

4.3 Any Earna Programs partnerships with third-party service providers may also be also subject to additional terms and conditions determined by the third-party service provider. You are responsible for reviewing and understanding any such additional terms and conditions, and we disclaim any liability for claims that may arise in connection with third-party service providers.

4.4 Earna Cashback redemptions are reflected instantly in your Account and, on a monthly basis, on your monthly statement.

4.5 You understand that Earna Cashback is not considered as cash, funds, money, or otherwise debt that is owed to you until it is applied to your Account Balance.

5. Promotional Codes

5.1 Earna may, from time to time, provide existing or prospective customers with promotional codes (each a "Promo Code") that may earn Earna Cashback, credits or other benefit if they meet the eligibility criteria or upon successful application, as applicable. Promo Codes can only be used for personal and non-commercial purposes and must meet all eligibility criteria.

5.2 Earna reserves the right, at its sole discretion, to deny, revoke or adjust Earna Cashback or credits earned through Promo Codes if you fail to meet the eligibility criteria, if there is suspected fraud, if you are otherwise manipulating or abusing the application of the Promo Code, any Earna Product, Earna Program or the Earna Website, or any other reason at Earna's sole discretion.

5.3 Promo Codes are subject to change or cancellation by Earna at any time in its sole discretion without notice.

6. Referral Program

6.1 Eligible customers will be provided a unique website link associated with their Account ("Referral Code") which can be used to invite and refer eligible friends or family to sign up for certain Earna Products ("Referral Program"). You represent and warrant that you have the consent of your eligible friends or family to refer them to Earna. You must not send a Referral Code to people you do not know.

6.2 Your Referral Code can only be used for personal and non-commercial purposes. You may share your link via social media or email if you are the primary content owner. You are prohibited from misrepresenting your relationship with Earna or with any Earna Product to any third parties or the public, and you will not make any warranty or representation on behalf of Earna.

6.3 Individuals who are residents of Approved Provinces and are new Earna customers who have applied for and been approved for a valid Earna Product may be eligible to be referred under a Referral Program (a "Referred User").

6.4 Earna reserves the right, at its sole discretion, to deny a Referred User access to an Earna Product for any reason including suspected fraud, inadequate credit history, previously provided Earna Product or failure to meet the eligibility criteria for any such Earna Product.

6.5 An Earna referral credit in an amount solely decided by Earna, subject to any modification by Earna without notice ("Referral Program Bonus"), will be earned by you and the Referred User once the Referred User has made its first Transaction with its Account. The Referral Program Bonuses will be applied automatically into the applicable Earna Account, as Earna Cashback.

6.6 The amount of Referral Program Bonuses earned and redeemed are subject to change at any time at Earna's sole discretion.

6.7 Earna reserves the right, at any time in our sole discretion, to: (i) cancel any Earna Product, Referral Code, or revoke or adjust any Referral Program Bonuses you earn if you are earning or using Referral Program Bonuses contrary to this Policy or the Cardholder Agreement, or you are otherwise manipulating or abusing any Earna Product or the Earna Website; and (ii) add to, amend or cancel the Referral conditions, a Referral Program or this Policy in relation to a Referral Program.

7. Contests/Competitions

7.1 From time to time, Earna may run contests, giveaways, or competitions ("Contests"). Contests are subject to this Policy, as well as the rules and eligibility requirements specific to each Contest ("Contest Rules").

7.2 In general, Contests will be open to individual residents of Approved Provinces over the age of majority in the province or territory in which they reside, with the exception of: (i) employees, representatives and agents of Earna; (ii) persons with whom the foregoing persons are domiciled, whether related or not; (iii) Earna's advertising and promotion agencies; and (iv) Any other individual specified in the Contest Rules.

7.3 For greater certainty, subject to applicable law, we reserve the right, at any time and in our sole discretion, to withdraw any Contest, to add to or amend terms and conditions (including this Policy) in relation to any Contest or to vary or terminate the operation of a Contest at anytime without prior notice to you.

8. Earna Milestones

8.1 At Earna's sole discretion, you may be entitled to certain upgrades of various features of your Card, as long as your Account is in Good Standing or as long as your Account is not considered a Blocked Account, such as reductions in applicable interest rates and increases of your Credit Limit ("Earna Milestones").

8.2 You may obtain a reduction of the interest rate applicable to Purchases by paying your Minimum Payment on or before the Payment Due Date for twelve (12) consecutive months, which will result in a 1% reduction in your interest rate applicable to Purchases (subject to the other conditions of the Earna Milestones). Your interest rate applicable to Purchases may never be lower the minimum established by Earna from time to time. You will stop accumulating Earna Milestones for that specific feature once the minimum interest rate has been reached.

8.3 If your Account stops being in Good Standing, is considered a Blocked Account or if you do not make a Minimum Payment on or before the Payment Due Date, your progress towards a reduction in your interest rate applicable to Purchases will reset to zero (0) month.

8.4 You may obtain an increase of your Credit Limit if you pay at least the Minimum Payment on or before the Payment Due Date for six (6) consecutive months, which will result in an increase of $100.00 in your Credit Limit (subject to the other conditions of the Earna Milestones). Your Credit Limit will only be increased if you accept so as per the applicable legislation. Your total Credit Limit may never be higher than the maximum established by Earna from time to time.

8.5 If your Account stops being in Good Standing, is considered a Blocked Account or if you do not make a Minimum Payment on or before the Payment Due Date, your progress towards an increase of your Credit Limit will reset to zero (0) month.

9. Termination and Cancellation

9.1 Earna may change or terminate an Earna Program or any other benefits at any time, for any reason and without prior notice. Earna may make changes that affect, without limitation, processes, benefits, levels, rules for any Earna Programs. Earna may, at its sole discretion, choose to substitute a similar Earna Program at any time immediately. Termination or changes may include instances where Earna believes that you have: (i) acted in a manner inconsistent with applicable laws or regulations; (ii) failed to pay Earna or Merchants any amounts due; (iii) acted in an inappropriate, fraudulent or abusive manner; or (iv) breached or violated any of the terms of this Policy or other terms and conditions for use of the Program, the Cardholder Agreement, the Earna Website or the Earna Product. Nothing contained in this Policy will limit Earna in the exercise of any legal or equitable rights or remedies.

9.2 Merchants may terminate their participation in an Earna Program at any time and without prior notice to you. Earna will not be held liable for any progress or rewards earned under an Earna Program that is cancelled, including by Merchants that have been removed from the Program for any reason.

9.3 You may not benefit from any Earna Programs or any other benefits after its termination.

9.4 Subject to the terms of the Earna Program and applicable law, upon termination of an Earna Program, all unredeemed Earna Cashback will be forfeited without any obligation or liability, and Earna Cashback claims will no longer be honored.

9.5 Subject to the terms of this Policy, if your Account is not in Good Standing if your Account is considered a Blocked Account, or if we cancel your eligible Earna Product for any reason, all Earna Cashback and other credits accumulated will be immediately lost. You will not recuperate the Earna Cashback even if your Account goes back to being in Good Standing or gets unblocked. You may not offset the Earna Cashback to any amount outstanding to Earna.

10. Taxes

10.1 There may be tax implications associated with your participation in the Earna Program. You are solely responsible for determining and fulfilling your tax obligations. You release Earna from all liabilities in this regard and acknowledge that Earna will not issue tax receipts.

11. Changes to this Policy

11.1 Subject to applicable law, we may change the terms and conditions of this Policy, any aspect of the Program and any Earna Programs in any respect, all without prior notice to you. Any amendments will be effective upon posting on the Earna Website. You are responsible for reviewing the Earna Website periodically to stay informed of any changes. Your continued use of the Earna Products after the effective date of any change will constitute acceptance by you of such change of this Policy.

11.2 If notice is required to be provided under applicable law, we may provide such notice through the Earna Website or by otherwise communicating with you electronically.

12. Use of Personal Information

12.1 Earna may exchange Card and Account related information about you with other parties, such as participating partners, affiliates, Merchants or service providers, as required to administer the Earna Programs. All personal information will be collected, used, disclosed or otherwise treated in accordance with the Earna Privacy Policy, which is available on the Earna Website.

13. Choice of Law and Jurisdiction

13.1 This Policy Terms shall be governed by and interpreted in accordance with Canadian law and the laws of the Approved Province in which we deem you are residing in accordance with the Cardholder Agreement. This province will also be the place of the contract. You agree to submit to and be bound by these laws and the courts of that province or territory in the event of any disputes arising in connection with the Program, Earna Programs, Merchant Rewards and/or this Policy. If you reside outside of Canada or in an Excluded Province, this Agreement will be governed by and interpreted in accordance with the laws of Ontario.
